General Terms of Cooperation
The following terms set out the rules of cooperation between the client and the More Than Tax accounting office, based in Tilburg.
Article 1. General notes
The following terms used in these General Terms have the following meaning:
- Client: a natural or legal person who commissions the work
- Service provider: the More Than Tax accounting office
Article 2. Application
These General Terms apply to all services commissioned by the Client and accepted for performance by the Service provider.
The Client accepts that More Than Tax's terms govern the relationship between the parties, and the Client's general terms shall not apply.
Article 3. Conclusion of the agreement
The agreement is concluded the moment the Client passes the assignment to the Service provider by signing an agreement or by ordering the service online. The agreement may be concluded verbally and confirmed by the Service provider.
The agreement is concluded for an indefinite period unless the nature of the assignment indicates otherwise.
Article 4. Obligations of the Service provider
The Service provider will make every effort to perform the assignment in accordance with tax regulations, but does not guarantee the result.
Services will be performed within agreed deadlines using available technology and the latest standards.
Engaging third parties requires the prior consent of the Client.
Article 5. Obligations of the Client
The Client is obliged to provide the Service provider, in a timely, complete and correct manner, with all data, information and documents necessary to perform the assignment.
The administration at the start of the agreement should be complete, with the general ledger consistent with the data from the previous year. Incomplete administration will result in additional time being charged.
The Client acknowledges that the decision periods of tax authorities are independent of More Than Tax.
Article 6. Confidentiality
The Service provider is obliged to maintain confidentiality towards third parties, subject to the obligations imposed by law.
Confidentiality applies to information of a confidential nature and to the results of its processing.
The Client is obliged to maintain confidentiality of data and documents considered secret.
Article 7. Liability
The Service provider is not liable for damages arising from incomplete and/or incorrect information provided by the Client.
No liability for indirect damages related to the assignment.
In the event of incorrect performance of the assignment due to the Service provider's fault, More Than Tax is obliged to remove the defects free of charge, provided that the costs do not exceed the costs charged for the work in question.
Liability is limited to the net invoice amount for the assignment giving rise to liability.
Liability expires 1 year after the work has been performed.
Article 8. Payment terms, default and right of retention
The Client is obliged to pay the invoice for the service performed within 14 days of the date of issue.
Failure to pay on time results in default and statutory interest being charged from the day following the expiry of the deadline.
The Client is obliged to reimburse reasonable judicial and extrajudicial costs.
The Service provider is entitled to retain documents in its possession in connection with the cooperation undertaken until the Client has fulfilled the obligation to settle outstanding payments.
Article 9. Complaints
A complaint regarding the work performed must be submitted in writing within 30 days of the date the documents were sent, under penalty of expiry of all claims.
A complaint does not release the Client from the obligation to pay the invoice.
In the case of a justified complaint, the Service provider has the choice between adjusting the calculated remuneration, free correction or re-performance of the complained work.
Article 10. Termination of the agreement
The Client has the right to terminate the commissioned work at any time, provided that they are a natural person.
Sole proprietorships and VOF (general partnership) companies are obliged to comply with the notice periods set out in the agreement.
The Service provider may terminate the agreement without notice if the Client fails to pay, is in bankruptcy proceedings or for other justified reasons.
More Than Tax may suspend the performance of obligations if the Client fails to fulfil the agreement.
Article 11. Protection of intellectual property and copyright
More Than Tax reserves all rights with respect to the results of intellectual work originating from the Service provider.
Documents provided by the Service provider are intended exclusively for the Client and may not be reproduced without consent.
Article 12. Disputes and applicable law
All agreements concluded between the Client and the Service provider are governed solely by Dutch law.
Disputes are brought before the civil court competent for the seat of the entrepreneur, unless the law provides otherwise.
The parties may choose another way of proceeding in a dispute situation.
